We are currently seeking a skilled and business-oriented Legal Counsel to join our legal team and take on a high-impact role in a regulated, listed environment. This is an opportunity for you who have gained experience at a well renommed law firm working with Corporate/Capital Markets / Public M&A, to leverage your skills in-house in a setting where you will play a key role at the core of our corporate, governance and commercial operations.
In this role, you will in tight collaboration with the General Counsel assume responsibility for various processes relating to corporate and stock market regulations as well as certain governance-related activities, and provide legal support on mainly commercial matters across the organisation.
You will be part of a legal team on a mission to be a proactive partner to the business, that plays an integral role in enabling sound business practices and good corporate governance, as well as in supporting continued business growth in a collaborative and professional environment.
Key Responsibilities
Act as lead legal advisor and project leader in corporate matters, including annual general meetings, incentive programs, share buy-backs etc.
Ensure that corporate communication is handled in accordance with MAR, Nasdaq’s rules for issuers, ESMA guidelines, and relevant legislation.
Lead MAR-related processes such as insiderlists and PDMR-registers, and support the General Counsel with assessments under MAR.
Prepare, coordinate and administrate materials and documentation for board and management decision-making and support the General Counsel in various board- and governance related work.
Support the Finance department in relation to the preparation of the annual report, and be responsible for the corporate governance report.
Draft, review and negotiate commercial agreements (primarily B2B) and take lead on Legal’s processes, routines and templates/general terms for Hemnet’s B2B-products.
Handle a broad range of legal queries arising in the day-to-day operations, in tight collaboration with the rest of the team.
Candidate Profile
We are looking for a qualified lawyer (jur kand or affärsjur mag) with a strong academic background and the following experience and competencies:
Minimum qualifications
At least 2 years’ experience from a reputable law firm, with a focus on Corporate, Capital Markets, and/or public M&A
Practical experience advising listed companies on matters related to the Swedish Companies Act and other legislation applicable to listed companies, the Market Abuse Regulation (MAR), Nasdaq Rulebook for Issuers, and the Swedish Code of Corporate Governance.
Demonstrated ability to independently manage complex legal projects and deliver high-quality work in a structured and efficient manner
Meritorious experience
Exposure to competition law and/or B2B commercial agreements
Previous in-house experience or secondments will be viewed positively
Practical experience from working with AGMs for listed companies, and incentive programs.
